Welcome to Black Shirt Media. These Terms of Service ("Terms") govern your use of the website at blackshirt.media (the "Website"), our video production, advertising, and marketing services (the "Services"), and our text messaging program (the "SMS Program"). By using the Website, booking a call, submitting a form, or opting in to receive text messages, you agree to these Terms. If you do not agree, please do not use the Website or the Services.

In these Terms, "Black Shirt Media," "we," "our," and "us" mean Black Shirt Media LLC.

1. Eligibility and Age Restriction (18+)

Our Website, Services, and SMS Program are intended only for individuals who are at least 18 years old. By using the Website, submitting a form, or opting in to text messages, you confirm that you are 18 or older and have the legal capacity to enter into these Terms. If you are entering into these Terms on behalf of a business, you confirm that you have authority to bind that business. We do not knowingly collect information from anyone under 18. If we learn that we have, we will delete it.

2. Our Services

Black Shirt Media provides sales-driven video content and Meta advertising management, including strategy, scripting, filming, editing, posting, and ad management. Video formats may include video business cards, testimonials, FAQ videos, sales videos and VSLs, process videos, and video ads.

Booking a call through the Website does not create a service agreement. Any engagement is governed by a separate written proposal, statement of work, or service agreement. If that agreement conflicts with these Terms, the written agreement controls for the Services it covers.

3. SMS Text Messaging Program

3.1 Program Description

By providing your phone number and opting in on our Website, you agree to receive text messages from Black Shirt Media LLC.

Depending on the consent you give, messages may include:

Appointment-related messages: booking confirmations, reminders, rescheduling notices, and call details.

Customer care messages: replies to your inquiries and requests.

Service updates: project status, shoot scheduling, delivery notices, and account-related notifications.

Promotional messages (only if you separately opted in to marketing): offers, announcements, and updates about our Services.

You may opt in to non-marketing messages only, or to marketing and non-marketing messages. We will not send you promotional texts unless you have expressly consented to them.

3.2 Message Frequency

Promotional and notification messages: up to 4 messages per month.

Appointment-related messages: frequency varies based on the appointments you book.

3.3 Consent Is Not a Condition of Purchase

Consent to receive marketing text messages is not a condition of purchasing any goods or services from us. You can book a call and use our Services without opting in to marketing texts.

3.4 How to Opt Out

You can cancel the SMS Program at any time. Text STOP to any message we send you. After you send STOP, we will send one confirmation message that you have been unsubscribed, and you will receive no further messages from that program unless you opt in again. If you opted in to more than one type of message, you may need to reply STOP to each program or contact us to be removed from all of them. You may also opt out by emailing or calling us using the contact details in Section 3.5.

To resume messages after opting out, re-submit the opt-in form on our Website or contact us.

3.6 Message and Data Rates

Message and data rates may apply. Your mobile carrier may charge you for sending and receiving text messages according to your plan. Black Shirt Media does not charge for the SMS Program, but you are responsible for any fees imposed by your carrier.

3.7 Carrier Liability Disclaimer

Participating carriers, including AT&T, T-Mobile, Verizon, and others, and their affiliates are not liable for delayed or undelivered messages. Message delivery depends on your carrier and device, network availability, and factors outside our control. We do not guarantee that any message will be delivered in a timely manner or at all.

3.8 Supported Carriers and Your Phone Number

The SMS Program is available on most major U.S. carriers, but carrier support may change. You confirm that the phone number you provide is yours or that you are authorized to consent for it. You agree to notify us if you change or give up your number so we do not send messages to someone else.

3.9 Privacy of SMS Data

We do not sell, rent, or share your phone number or SMS opt-in consent with third parties for their marketing purposes. See our Privacy Policy for details on how we collect, use, and protect your information.

4. Privacy Policy

Your use of the Website and Services is also governed by our Privacy Policy, which explains what information we collect and how we use and protect it: Privacy Policy. By using the Website, you acknowledge that you have read it.

5. Use of the Website

You agree not to:

use the Website for any unlawful purpose or in violation of these Terms; submit false, misleading, or another person's information; interfere with or disrupt the Website, its servers, or its security; attempt to gain unauthorized access to any part of the Website;

scrape, copy, or reproduce Website content without our written permission; or use the Website to send spam or unsolicited communications.

6. Intellectual Property

All Website content, including text, graphics, logos, videos, layout, and branding, is owned by or licensed to Black Shirt Media LLC and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from it without our prior written consent.

Ownership and usage rights for videos and other deliverables we create for you will be set out in your service agreement. Unless that agreement says otherwise, we may display completed work in our portfolio and marketing materials, subject to any confidentiality terms you have agreed to.

7. Client Content and Permissions

If you provide us with footage, images, music, testimonials, logos, or other materials, you confirm that you own them or have the rights to use them and that they do not infringe the rights of any third party. You are responsible for obtaining any releases or permissions needed from people who appear in your videos, unless we agree otherwise in writing.

8. Third-Party Platforms and Links

Our Services may involve third-party platforms such as Meta (Facebook and Instagram). Your use of those platforms is subject to their own terms and policies. We do not control third-party platforms and are not responsible for their availability, policy changes, ad approvals or rejections, or account actions. The Website may also link to third-party sites, and we are not responsible for their content or practices.

9. No Guarantee of Results

We work to create effective video and advertising, but marketing results depend on many factors outside our control, including your offer, pricing, market conditions, budget, and platform algorithms. We do not guarantee any specific outcome, including sales, leads, revenue, views, or return on ad spend. Testimonials and examples on our Website reflect individual experiences and are not guarantees of similar results.

10. Disclaimer of Warranties

The Website and Services are provided "as is" and "as available," without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Website will be uninterrupted, error-free, or secure.

11. Limitation of Liability

To the fullest extent permitted by law, Black Shirt Media LLC and its owners, members, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising from your use of the Website, the Services, or the SMS Program. Our total liability for any claim relating to the Website or SMS Program will not exceed $100. Liability for the Services will be as stated in your service agreement. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless Black Shirt Media LLC and its owners, members, employees, and contractors from claims, damages, and expenses (including reasonable attorneys' fees) arising from your violation of these Terms, your misuse of the Website or Services, or materials you provide to us that infringe the rights of others.

13. Termination

We may suspend or end your access to the Website or SMS Program at any time, with or without notice, if we believe you have violated these Terms or applicable law. You may stop using the Website at any time and may opt out of text messages as described in Section 3.4.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Missouri, without regard to conflict-of-law principles. Any dispute arising from these Terms or your use of the Website will be brought in the state or federal courts located in or serving St. Charles County, Missouri, and you consent to their jurisdiction, unless your service agreement provides otherwise.

15. Changes to These Terms

We may update these Terms from time to time. Changes take effect when posted on this page, and the "Effective Date" above will be updated. Continued use of the Website, Services, or SMS Program after changes are posted means you accept the updated Terms.

16. Severability and Entire Agreement

If any provision of these Terms is found unenforceable, the rest will remain in effect. These Terms, together with the Privacy Policy and any written service agreement, are the entire agreement between you and Black Shirt Media regarding their subject matter.
